ZIPCAR REWARDS PROGRAM TERMS AND CONDITIONS

  1. 1. Introduction  

 

These Zipcar Rewards Program Terms and Conditions govern the Zipcar Rewards Program (“Rewards Program” or “Program”) operated by Zipcar, Inc. (“Zipcar”). The Program Terms and Conditions, together with the terms incorporated herein or referred to herein, constitute the entire Agreement between Zipcar and a Zipcar Rewards member (“Member”), relating to the subject matter hereof.  

Zipcar reserves the sole right at any time to amend, modify or supplement these Rewards Program Terms and Conditions by making such amendments or modifications on the Program website at https://zipcar.com/book/rewards and the Zipcar mobile app. Continued participation in the Program will constitute Member’s acceptance of any such amendment, modification, or supplementation. Members are responsible for remaining knowledgeable of the Program’s Terms and Conditions and any changes, modifications, or additions to the Program. 

As a Member of the Program, Member agrees that they have: 

a.    read, understood, and accepted the Membership contract available for US members at https://www.zipcar.com/membership-contract and Canada members at https://www.zipcar.com/en-ca/membership-contract and 

b.    read, understood, and accepted these Rewards Program Terms and Conditions; and 

c.     provided consent for Zipcar, Inc., and its authorized third-party agents to process data that is personal to him/her, and to disclose such data to third parties, in accordance with Zipcar’s Privacy Notice; and 

d.   consented to the use of the email associated with their account as the method of communication to the Member about their account information including, but not limited to, reward program changes, modifications and balances.  

  1. 2. Program Eligibility

Participation in the Rewards Program is available to all active members in good standing of Zipcar with a resident address in the United States or Canada, except as specifically excluded in these Program Terms and Conditions. By providing a deliverable email address, Members shall be deemed to have affirmatively opted in to the Zipcar Rewards Program and Zipcar may communicate member account balances and other applicable information regarding the Program.  

Zipcar Business (including any drive-to-earn programs) affiliated rate plan members are not eligible to participate in the Program. 

  1. 3. Earning Rewards

Members will be eligible to earn rewards as part of the Program. 

Qualifying Reservations: A qualifying reservation is defined as a completed, paid trip using a Zipcar vehicle (“Reservation”).  

Member Accrual of Rewards: For every $250 (USD or CAD) spent on qualifying trip-related charges, a Member shall receive $5 (USD or CAD) in rewards, provided, however that University-affiliated Members shall receive $5 (USD or CAD) in rewards for every $200 (USD or CAD) spent on qualifying trip-related charges. A member will only accrue progress towards rewards when completing a Reservation, and only upon the vehicle return and complete payment of any and all qualifying charges associated with such Reservation.  Qualifying trip-related charges shall include hourly or daily usage charges and any overage miles charges, as applicable, associated with the Reservation.  Any payments of other fees, taxes, tolls, violations or trip protection purchased in connection with the Reservation shall not, however, count towards a reward.  Further, no progress towards a reward will be awarded on any reservations that are unpaid or “free” of usage and mileage charges.  Rewards progress will also not be awarded for payment in the form of a discount(s) applied such as a promotion and/or a reward coupon redeemed on the trip. 

Progress towards a reward will be awarded to the member as quickly as commercially reasonable after their trip completion and/or per stated promotional period. Zipcar reserves the right, in its sole discretion, to make adjustments or corrections to a Member’s rewards balance.  

In the event of a breach of the Zipcar membership contract, Zipcar’s community rules, or these terms and conditions, no rewards progress will be awarded. In the event of a dispute of charges relating to a Reservation, no rewards progress will be awarded until such dispute is resolved. Other exclusions may also apply at the sole discretion of Zipcar. 

If a Zipcar account includes two or more Zipcar drivers, only the First Member’s trip activities will qualify to earn rewards as part of the Rewards Program. Any additional trip activities in an account which includes two or more additional drivers shall not qualify for earning progress towards a reward. 

  1. 4. Redeeming Rewards

Zipcar rewards may be redeemed at the time of booking to pay for Zipcar trip-related usage charges only in the United States and Canada subject to the availability of the requested reservation. Advance reservations are required. 

Rewards shall be awarded in increments of $5 (USD or CAD), unless otherwise specified. Once eligible dollars spent meet the minimum threshold for a reward, the Member may redeem for the largest available Zipcar Rewards Coupon (“Coupon”) which may be applied towards a future trip or as part of a special offer, if applicable. All Coupons expire thirty (30) days after issue date. A single Coupon may not be combined with other coupons or Promos when  redeeming.  If a Coupon is applied to a trip reservation of a lesser value, any Coupon balance shall be forfeited. The maximum Coupon value that can be applied to a single trip is $75. 

Special offers may be available for Members from time to time at Zipcar’s sole discretion. Terms and conditions for Coupons associated with those special offers shall be outlined in the offer details. Please review those terms and conditions carefully, as they may contain important conditions or limitations (such as blackout periods or exclusions). 

Modifications to a redemption reservation will be allowed to the extent they do not change the amount of the Coupon required for such reservation. Any other changes to a redemption reservation will require a Member to first cancel the reservation prior to the trip start date and re-book the trip. If a member cancels or shortens a booking outside of the stated timeframes as set forth here, the Coupon used for the canceled or modified reservation will be forfeited. 

Rewards have no cash value and may not be exchanged or redeemed by a Member for cash or credit. Rewards believed to have been bartered, sold, exchanged, or issued to someone other than the Member will be deemed void and will not be honored.  

  1. 5. Expiration or Cancellation of Rewards

Rewards are valid for twelve (12) months from when the reward was earned. In the event that the Member fails to redeem a reward within such twelve (12) month period, the reward shall be forfeited and surrendered back to Zipcar and shall no longer have any value to the Member and will be removed from the Member’s account.  

Progress towards earning Rewards by a Member shall be forfeited without notice if the Member becomes Inactive. A member is considered “Inactive” if, during a 12-month period: (i) the Member has not completed a Reservation; or (ii) the Member’s account has been cancelled.  

  1. 6. Changes, Termination and/or Removal from Program, Account Closure

Program Changes: Zipcar may, in its sole discretion, alter, limit, or modify the Program rules, regulations, benefits, Rewards, eligibility for Membership, or any other feature of the Program (including assigning any of its obligations to customers under the Program at any time to another person or entity, without recourse) or may terminate the Program any time at its sole discretion, by posting any such changes on the Zipcar website. YOUR CONTINUED PARTICIPATION IN THE PROGRAM FOLLOWING SUCH CHANGES CONSTITUTES YOUR ACCEPTANCE OF THE CHANGES. 

Termination or Removal from Program: Zipcar reserves the right to exclude individuals from the Program, remove Rewards from a member’s rewards account and/or cancel reservations that are not consistent with Zipcar policy in its sole but reasonable discretion. In particular, any abuse, manipulation or "gaming" of the Program or its rules (as determined by Zipcar) including multiple redemptions by the same individual via different accounts, failure to follow any terms of the Program, Membership inactivity for more than 12 months, reselling Rewards, or any misrepresentation or conduct detrimental to the interests of Zipcar, not otherwise protected by law, may subject Members to Membership cancellation or deduction of Rewards obtained through these abusive or manipulative activities, and will affect eligibility for further participation in the Program.  Membership is non-transferable. If your account is revoked or otherwise cancelled, any Rewards or reward progress in your account will automatically expire.  

In addition, Zipcar may cancel or suspend a Member’s account including, but not limited to, any accumulated Rewards, at any time with immediate effect and without written notice, for any reason and in Zipcar’s sole discretion including, without limitation, if Zipcar believes the Member has: 

i.      failed to pay any outstanding bill when due, including for damages sustained to a Zipcar vehicle or failed to fulfill any other financial obligation; or 

ii.     acted in an inappropriate, fraudulent, abusive or hostile manner which shall be determined in the sole discretion of Zipcar; or 

iii.     breached or violated any of the Program Terms and Conditions or the Zipcar Membership Contract; or 

iv.     filed for bankruptcy or otherwise become subject to a bankruptcy proceeding, subject to applicable law. 

Effect of Membership Cancellation: Any Program related benefits and services are the sole property of Zipcar and are not the property of Members. Upon cancellation of membership in the Program for any reason, all unredeemed Rewards will be forfeited, and a Member will no longer be able to participate in the Program.  Rewards have no cash value and Zipcar will not compensate or pay cash for any forfeited or unused Rewards. 

If a Member cancels his/her account, or if a Member account becomes inactive, the Member may reapply for membership at a later date, but Rewards previously expired will not be reinstated to the Member account. 

Account Closure: If you choose to end your participation in the Zipcar Rewards Program, you may do so by contacting Member Services.  

  1. 7. Membership Communications

All communications regarding the Program will be sent to the Member’s email address currently provided in the Member’s account. Communications delivered to the email address on file will be deemed to have been received upon the earlier of the opening of the email or one business day after the email was sent. Members must keep their email address current. 

If you do not wish to receive these rewards communications, you can request that they be discontinued by updating your account at www.zipcar.com or www.zipcar.ca, or on the Zipcar mobile app on your account page.   

Zipcar reserves the right to make changes to its website and these Terms and Conditions at any time. It is your responsibility to check or review these Terms and Conditions from time to time to keep informed of any changes. By joining the Program, you hereby agree to be bound by any such changed Terms and Conditions.  Any Program changes, modifications, or alterations will be posted online at https://www.zipcar.com/zipcar-rewards-program-terms-and-conditions and https://www.zipcar.com/en-ca/zipcar-rewards-program-terms-and-conditions.  The terms available on these websites on the date of a Reservation or a redemption shall constitute the terms and conditions governing such transaction and shall supersede all other prior terms and conditions.   

  1. 8. Representations and Warranties

Zipcar makes no warranties or representations, either express or implied, with respect to type, quality or fitness of services provided through the Program.  

  1. 9. Errors and Omissions:

Zipcar is not responsible for: (i) any loss or misdirection of, or delay in receiving, any Member application, correspondence, redemption requests, or rewards; (ii) theft or unauthorized redemption of Zipcar rewards; or (iii) any errors published in relation to the Program, including, without limitation, any pricing or typographical errors, errors of description, and errors in the crediting or debiting of Zipcar rewards and rewards progress to/from Member accounts. Zipcar reserves the right to correct, without notice, any errors. 

  1. 10. Interpretation of the Program Terms:

All interpretations of the Program Terms and Conditions will be at Zipcar’s sole discretion, and Zipcar’s decisions will be final. In the event of any discrepancy between the English version and any translated version of the Program Terms and Conditions, the English language version will prevail. 

  1. 11. Waiver:

Zipcar’s waiver of any breach of the Program Terms and Conditions by any Member will not constitute a waiver of any other prior or subsequent breach of the Program Terms by such Member or any other Member. Zipcar’s failure to insist upon strict compliance with the Program Terms and Conditions by any Member will not be deemed a waiver of any rights or remedies that Zipcar may have against that or any other Member. Zipcar may waive compliance with the Program Terms and Conditions in its sole discretion and may run promotions from time to time that provide enhanced benefits to select Members. 

  1. 12. Limitation of Liability

IN NO EVENT WILL ZIPCAR BE LIABLE FOR ANY DIRECT, INDIRECT, SPECIAL, EXEMPLARY, PUNITIVE, INCIDENTAL OR CONSEQUENTIAL DAMAGES OF ANY KIND, WHETHER BASED IN CONTRACT, TORT OR OTHERWISE, WHICH ARISE OUT OF OR ARE IN ANY WAY CONNECTED WITH THE ZIPCAR PROGRAM OR THE PROGRAM TERMS AND CONDITIONS. 

  1. 13. Choice of Law and Venue 
     

Any disputes arising out of or related to the Program or the Program Terms and Conditions will be handled individually without any class action, and will be governed by, construed and enforced in accordance with the laws of the Commonwealth of Massachusetts, United States, without regard to its conflicts of law rules. The exclusive jurisdiction for any claim or action arising out of or relating to the Program or the Program Terms and Conditions shall be filed only in the state or federal courts located in the Commonwealth of Massachusetts, United States.

Membership in the Program and the awarding and redeeming of Zipcar Rewards are subject to all applicable local laws and regulations. Membership in the Program, Member benefits and Zipcar Rewards are offered in good faith. If any part of the Program Terms and Conditions is held to be unlawful or unenforceable, that part will be deemed deleted from the Program Terms and Conditions in such jurisdiction and the remaining provisions will remain in full force and effect.
